By downloading, installing, or using SlyWriter ("the Software"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately uninstall the Software and cease all use.

1. ACCEPTANCE OF TERMS
By using SlyWriter, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms constitute a legally binding agreement between you and SlyWriter LLC ("we", "us", or "our").
**YOU MUST BE AT LEAST 18 YEARS OLD TO USE THIS SOFTWARE.** By using this service, you certify that you are 18 years of age or older.
2. LICENSE GRANT AND RESTRICTIONS
2.1 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use SlyWriter for lawful purposes only, subject to these Terms.
2.2 Prohibited Uses
You expressly agree NOT to use SlyWriter for any of the following purposes:
**ACADEMIC DISHONESTY:**
- Cheating on exams, tests, quizzes, or assignments
- Submitting automated typing as your own work when prohibited
- Violating academic integrity policies
- Circumventing educational anti-cheating systems
- Any form of academic fraud or misconduct
**UNAUTHORIZED ACCESS:**
- Accessing systems without authorization
- Bypassing security measures
- Circumventing access controls
- Unauthorized data collection or scraping
**ILLEGAL ACTIVITIES:**
- Any activity that violates local, state, federal, or international law
- Fraud, identity theft, or impersonation
- Harassment, stalking, or threatening behavior
- Distribution of illegal content
**COMMERCIAL MISUSE:**
- Unauthorized automation of commercial systems
- Violating terms of service of third-party platforms
- Spam or unsolicited mass communications
- Unfair competitive practices
**MALICIOUS USE:**
- Creating, distributing, or facilitating malware
- Disrupting or interfering with services or networks
- Any harmful, deceptive, or malicious activity
2.3 User Responsibility
**YOU ARE SOLELY RESPONSIBLE FOR HOW YOU USE THIS SOFTWARE.** You agree to use SlyWriter only for legitimate, lawful purposes such as:
- Accessibility assistance for users with disabilities
- Productivity enhancement for personal work (e.g., transcribing your own pre-written notes or documents) - - Automation of your own personal typing tasks
- Testing and development purposes
- Other lawful uses that do not violate any third-party rights
**Examples of Acceptable vs. Unacceptable Use:**
- ✓ **ACCEPTABLE:** Using SlyWriter to type out your own handwritten notes or pre-written content
- ✓ **ACCEPTABLE:** Using SlyWriter for accessibility assistance due to a disability
- ✓ **ACCEPTABLE:** Automating repetitive typing tasks for your personal productivity
- ✗ **NOT ACCEPTABLE:** Using SlyWriter to input answers during a proctored exam or test
- ✗ **NOT ACCEPTABLE:** Using SlyWriter to complete assignments on someone else's behalf
- ✗ **NOT ACCEPTABLE:** Using SlyWriter to circumvent academic integrity monitoring systems
2.4 Compliance with Anti-Cheating Laws and Disclaimer Limitations
**SlyWriter is NOT a "Commercial Cheating Service."** SlyWriter is a typing automation tool designed for legitimate productivity and accessibility purposes. The Software does not provide completed academic work or assignments to students; it is a general-purpose automation tool that can be used (or misused) by the user.
**Legal Compliance:**
- Certain jurisdictions (including but not limited to the State of Georgia, effective July 2025) have enacted laws prohibiting "commercial cheating services" that provide students with substantially completed academic work.
- SlyWriter does not fall under the definition of a commercial cheating service, as it is an automation tool, not a service that delivers completed assignments or academic content.
- However, users must not misuse SlyWriter to violate academic integrity policies or applicable laws.
**Effectiveness of Disclaimers:**
- The disclaimers, indemnifications, and liability limitations in these Terms are effective to the fullest extent permitted by applicable law.- Where any applicable law (federal, state, or local) prohibits or limits certain disclaimers or liability waivers, those provisions of these Terms shall be deemed modified to the minimum extent necessary to comply with such law.
- Nothing in these Terms shall be construed to circumvent laws that prohibit commercial cheating services or other consumer protection regulations.
- **If you use SlyWriter in violation of applicable laws or academic policies, you do so at your own risk, and any disclaimers that are void under applicable law will not protect either you or us.**
3. DISCLAIMER OF LIABILITY
3.1 No Liability for Misuse
**WE EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY MISUSE OF THIS SOFTWARE.**
You acknowledge and agree that:
- SlyWriter is a tool that can be used for legitimate or illegitimate purposes
- We have no control over how you use the Software
- We cannot and do not monitor your use of the Software
- **YOU ARE SOLELY RESPONSIBLE** for any consequences arising from your use
- We are NOT responsible for any disciplinary action, legal action, academic penalties, job loss, or other consequences resulting from your misuse
3.2 Academic Consequences
**WE DISCLAIM ALL LIABILITY FOR ACADEMIC CONSEQUENCES** including but not limited to:
- Failing grades or course failures
- Academic probation or suspension
- Expulsion from educational institutions
- Revocation of degrees or certifications
- Damage to academic reputation- Legal action by educational institutions
**IF YOU USE THIS SOFTWARE TO CHEAT, YOU DO SO ENTIRELY AT YOUR OWN RISK.**
3.3 Legal Consequences
**WE DISCLAIM ALL LIABILITY FOR LEGAL CONSEQUENCES** including but not limited to:
- Criminal prosecution
- Civil lawsuits
- Fines and penalties
- Imprisonment
- Legal fees and court costs
- Damage to personal or professional reputation
3.4 Employment Consequences**WE DISCLAIM ALL LIABILITY FOR EMPLOYMENT CONSEQUENCES** including but not limited to:
- Job termination or suspension
- Professional license revocation
- Damage to professional reputation
- Loss of income or benefits
- Difficulty obtaining future employment
3.5 Technical Issues**WE DISCLAIM ALL LIABILITY FOR TECHNICAL ISSUES** including but not limited to:
- Detection by anti-automation systems
- Data loss or corruption
- System crashes or instability
- Compatibility issues
- Unintended behavior or errors
- Security vulnerabilities
4. NO WARRANTIES
4.1 "AS IS" Provision
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement- Accuracy or reliability
- Uninterrupted or error-free operation
- Freedom from viruses or harmful components
4.2 No Guarantee of Functionality
We do not guarantee that:
- The Software will meet your requirements
- The Software will be undetectable by anti-automation systems
- The Software will function without errors or interruptions
- Any defects will be corrected
- The Software will be compatible with your system
5. LIMITATION OF LIABILITY
5.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SLYWRITER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:
**DIRECT DAMAGES:**
- Loss of data or profits
- Cost of substitute services
- Personal or business interruption
**INDIRECT DAMAGES:**
- Incidental, consequential, or special damages
- Punitive or exemplary damages
- Loss of reputation or goodwill
- Academic or professional consequences
- Legal fees or litigation costs
**EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.**
5.2 Monetary Cap
If, notwithstanding the foregoing, we are found liable for any damages, our total aggregate liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim (or $100 USD if you used a free version).
5.3 Jurisdiction-Specific Limitations
**IMPORTANT:** Some jurisdictions do not allow the exclusion or limitation of certain warranties, liabilities, or damages. If applicable law in your jurisdiction prohibits any of the disclaimers, exclusions, or limitations set forth in these Terms (including Sections 3, 4, and 5), then such provisions shall not apply to you, but only to the extent prohibited by law.
In such cases:
- Our liability will be limited to the fullest extent permitted by applicable law in your jurisdiction.
- Certain statutory consumer rights or protections (such as those under EU consumer law, UK consumer law, or similar regulations) cannot be waived and remain in effect.
- Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our gross negligence or willful misconduct, fraud, or any other liability that cannot be excluded under applicable law.
The disclaimers and limitations in these Terms are intended to apply to the maximum extent permitted by law. If you are a consumer in a jurisdiction with stronger consumer protections, those protections shall override any conflicting provisions in these Terms to the extent required by law.
6. INDEMNIFICATION
6.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless SlyWriter and its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your use or misuse of the Software
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any laws or regulations
- Any academic misconduct or cheating
- Any unauthorized access or security breaches
- Any content you input into the Software
- Any harm caused by your actions while using the Software
6.2 Defense and Settlement
You agree to cooperate fully in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
7. USER CONDUCT AND RESPONSIBILITIES
7.1 Compliance with LawsYou agree to comply with all applicable laws, regulations, and third-party terms of service when using the Software. This includes but is not limited to:
- Computer Fraud and Abuse Act (CFAA)- Digital Millennium Copyright Act (DMCA)
- General Data Protection Regulation (GDPR)
- Educational institution policies
- Employer policies and acceptable use policies
- Platform-specific terms of service
7.2 Ethical Use
You agree to use the Software ethically and responsibly. You understand that the Software is a powerful automation tool that can be misused, and you commit to using it only for legitimate purposes.
7.3 No Harm to Others
You agree not to use the Software in any way that harms, harasses, threatens, or violates the rights of others.
8. ACCOUNT AND SUBSCRIPTION TERMS
8.1 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
8.2 Subscription Plans
- Free Plan: Limited features with usage quotas
- Pro Plan: Enhanced features and higher usage limits
- Prices and features are subject to change with notice
8.3 Billing and Refunds
- Subscriptions are billed in advance on a monthly or annual basis
- **NO REFUNDS** will be provided for partial months or unused services
- You may cancel at any time, but no prorated refunds will be issued
- We reserve the right to change prices with 30 days notice
8.4 Termination of Service
We reserve the right to suspend or terminate your account immediately, without notice or liability, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent or illegal activity
- Abuse or misuse of the service
- Chargeback or payment disputes
- Behavior that harms our reputation or other users
9. INTELLECTUAL PROPERTY
9.1 Our Rights
SlyWriter, including its code, design, features, trademarks, and all related intellectual property, is owned by us and protected by copyright, trademark, and other intellectual property laws.
9.2 Your Rights
You retain all rights to the content you input into the Software. However, you grant us a limited license to process your content solely for the purpose of providing the service.
9.3 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Software
- Copy, modify, or create derivative works
- Remove or alter any copyright or trademark notices
- Sell, rent, lease, or sublicense the Software
- Use the Software to create competing products
10. DATA AND PRIVACY
10.1 Data Collection
We collect typing metadata (word counts, WPM, timestamps) but do NOT store the actual text you type. See our Privacy Policy for details. By using the Software, you consent to such collection and processing.
10.2 AI-Generated Content
When you use AI features:
- Your prompts may be sent to third-party AI providers (e.g., OpenAI)
- AI-generated content is not guaranteed to be accurate or appropriate
- You are responsible for reviewing and using AI content appropriately
- We are not liable for any consequences of using AI-generated content
10.3 No Guarantee of Privacy
While we implement reasonable security measures, **WE CANNOT GUARANTEE THE SECURITY OF YOUR DATA.** You use the Software at your own risk regarding data privacy and security.
11. THIRD-PARTY SERVICES
11.1 Third-Party Integrations
The Software may integrate with third-party services (e.g., OpenAI, Google OAuth). Your use of these services is subject to their respective terms and policies, which you are solely responsible for reviewing and accepting.
11.2 No Responsibility
We are not responsible for:
- The availability, accuracy, or content of third-party services
- Any damages resulting from third-party services
- Changes to third-party services that affect the Software
12. UPDATES AND MODIFICATIONS
12.1 Software Updates
We may update the Software at any time without notice. Updates may:
- Add, modify, or remove features
- Change functionality or behavior
- Require acceptance of new terms
- Be mandatory for continued use
12.2 Terms Modifications
We reserve the right to modify these Terms at any time. Modifications will be effective immediately upon posting. Your continued use of the Software after modifications constitutes acceptance of the modified Terms.

13. DETECTION AND ANTI-CHEATING SYSTEMS
13.1 No Guarantee of Undetectability**WE MAKE NO GUARANTEES** that the Software will be undetectable by:
- Proctoring software (ProctorU, Respondus, Honorlock, etc.)
- Learning Management Systems (Canvas, Blackboard, Moodle, etc.)
- Anti-cheat systems
- Keystroke analysis tools
- Behavioral monitoring systems
- Employer monitoring software
13.2 Detection Consequences
If you are detected using this Software inappropriately, you acknowledge that:
- You are solely responsible for all consequences
- We have no obligation to help you avoid detection
- We will not assist you in any disputes or disciplinary proceedings
- **We may cooperate with investigations by providing usage logs, metadata, and account details**
- We do not store your actual typing text, so it cannot be disclosed
- We are NOT obligated to notify you before disclosing metadata to investigators
14. ACCESSIBILITY USE CASE
14.1 Legitimate Use
We recognize that some users may have legitimate accessibility needs. If you have a disability that impairs your ability to type, SlyWriter may be a valuable assistive technology.
14.2 Disclosure Requirement
**EVEN FOR ACCESSIBILITY PURPOSES**, you should:
- Disclose your use of assistive technology when required by policies
- Obtain appropriate accommodations through official channels
- Comply with your institution's or employer's accessibility policies
- Consult with disability services before using the Software in academic settings
15. EXPORT RESTRICTIONS
You agree to comply with all applicable export and import laws and regulations. You may not use or export the Software in violation of U.S. export laws or the laws of the jurisdiction in which you obtained the Software.
16. DISPUTE RESOLUTION
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
16.2 Mandatory Arbitration
**ANY DISPUTE ARISING FROM THESE TERMS OR YOUR USE OF THE SOFTWARE SHALL BE RESOLVED THROUGH BINDING ARBITRATION**, not in court, except that you may assert claims in small claims court if your claims qualify.
**Arbitration Procedures:**
- Arbitration shall be administered by the **American Arbitration Association (AAA)** under the AAA's Consumer Arbitration Rules, or by another mutually agreeable arbitration provider if AAA is unavailable.- The arbitration shall be conducted in English and may be held virtually (via video conference or document submission) or in person in Essex County, New Jersey, at the arbitrator's discretion or by mutual agreement of the parties.
- Either party may initiate arbitration by filing a demand for arbitration with the AAA in accordance with the AAA Rules. The AAA Rules and information about initiating arbitration are available at www.adr.org or by calling 1-800-778-7879.
- The arbitrator's decision shall be final and binding, and judgment on the arbitration award may be entered in any court having jurisdiction.
**Arbitration Costs:**
- Each party shall be responsible for its own attorney's fees and costs unless the arbitrator awards such fees and costs to the prevailing party as permitted by applicable law.
- If the arbitration filing fees exceed the cost of filing a lawsuit, or if the arbitrator finds the arbitration to be non-frivolous, SlyWriter will pay any additional arbitration filing fees beyond what you would have paid to file a complaint in court.
- SlyWriter will not seek to recover attorney's fees or costs in arbitration unless the arbitrator determines your claim was frivolous or brought for an improper purpose.
16.3 Class Action Waiver
**YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.** All disputes must be brought on an individual basis only.
16.4 Venue
If arbitration is not enforceable, you agree that any legal action shall be brought exclusively in the state or federal courts located in Essex County, New Jersey, and you consent to personal jurisdiction in those courts.
17. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.
18. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SlyWriter regarding the Software and supersede all prior agreements, understandings, or communications.
19. NO WAIVER
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
